The Parties

Vis-a-Vis: The trading name of In-Country Langyage Courses Ltd (hereinafter called Vis-a-Vis) whose registered office is at 2/4 Stoneleigh Park Road, Epsom, Surrey, KT19 0QT organises and acts as agent for overseas bodies which offer and supply students and others with tuition and accommodation for in-country language courses and may arrange insurance for students. Vis-a-Vis as agent effects all bookings and reservations for students unless notified to the contrary, and it may, at its discretion, intercede without charge on behalf of students who become in dispute with any persons or bodies in connection with any matters arising provided however that Vis-a-Vis shall not thereby be liable or become liable in any way in connection with any such matter nor does it vouch for the content or accuracy of any brochures or publicity documents prepared for students by any such persons or bodies and it is accepted that students' possible remedies shall be against such overseas bodies only.

"The student" means a person or persons who have signed the application form for such an in-country language course (or if under age a parent or a person in loco parentis of such person or persons). Where a booking is made for more than one student the body or organisation making the booking will be regarded as the student for the purpose of this agreement.

In consideration of the price agreeed to be paid for its Principals' courses and accommodation as set out on the Registration Form the following terms and conditions shall apply as between the parties.

Article 1 This Agreement

1. This agreement is legally binding when the registration form is completed and signed by the student and accepted by Vis-a-Vis or if effected by telephone when the registration form has been completed AND after Vis-a-Vis have received by the agreed deposit.

2. The specific written approval of Vis-a-Vis is required for any variation to this agreement.

3. The laws of England shall apply to this agreement.

Article 2 Payment Conditions

1. An enrolment fee of £50 is charged in addition to the total costs of the course and accommodation.

2. A deposit of £85 (£35 downpayment and £50 enrolment fee) is to be sent to Vis-a-Vis with a completed registration form for each student enrolling.

3. The remaining balance must be settled by the student and arrive at the offices of Vis-a-Vis to its satisfaction prior to departure date. In the event of default of payment by that time Vis-a-Vis shall be entitled to rescind this agreement in which circumstances the amount already paid is accepted by the student as being non-refundable. Vis-a-Vis reserves the right to sue for the balance payable or the whole booking.

4. Where a booking is made within 4 weeks of departure for the course the entire costs of the course and accommodation shall be paid at the time of registration (inclusive of £50 enrolment fee) and the total amount due for the course and accomodation must be received by Vis-a-Vis in time for funds to have been cleared the day before departure in which case payment may be needed by telegraphic transfer or such other suitable means to achieve this at the expense of the student.

5. Due to currency fluctuations prices may be subject to change.

Article 3 Insurance and Premiums

1. On enrolment students must apply for customary travel insurence to Vis-a-Vis which will then endeavour to arrange it on their behalf at their cost. Details of type and amount of cover available are provided, otherwise students should effect their own insurance cover.

Article 4 Travel Documents

1. Relevant travel documents may be arranged between a designated Travel Agent and the student or the student or the student may make his/her own travel arrangements

2. (a) Students themselves must arrange prior to departure all necessary travel documents in connection with their travel abroad i.e. valid passport, valid visa (if required), driver's licence, green card.

(b) Any costs, damages or other charges arising from cancellation or curtailment due to a student's failure to comply with (a) above shall be the sole responsibility of the students.

Article 5 Cancellation by the student

1. Should this agreement be cancelled by the student the following provisions should apply:

(a) Cancellation up to 28 days prior to departure: 25% of the cost of the course and accommodation shall be payable to Vis-a-Vis by the students.

(b) Cancellation between 6 and 28 days prior to departure: 60% of the cost of the course and accommodation shall be payable to Vis-a Vis by the student.

(c) Cancellation between 5 and 1 day prior to departure: 85% of the course and accommodation shall be payable to Vis-a-Vis by the student.

(d) Cancellation on the day of departure: 100% of the cost of the course and accommodation shall be payable to Vis-a-Vis by the student.

In each case the day of departure shall be counted as one day. Insurance premiums and transport remain the sole respomsibilty of the student in any event.

2. (a) Cancellations by one or more students where they are part of a group booking will give rise to a charge of at a rate which equates to the student or students having booked as individuals rather than as a group.

(b) Where a fresh booking is made in substitution for a cancellation Vis-a-Vis may at its sole and absolute discretion alter or waive the provisions of this Article in favour of the student.

Article 6 Alterations resulting from the actions of Third Parties

Vis-a-Vis does not accept liability for charges in arrangements for transport tuition, accommodation, insurance or any other matters where made by other parties and any legal rights of redress which a student may have must be solely directed to such other parties.

Article 7 Complaints

Not withstanding the provisions of this agreement excluding legal obligation or liability on its part nevertheless Vis-a-Vis will in the event of a complaint by a student against an overseas body in connection with its preferred course or associated accommodation, use its best endeavours to rectify the situation to the reasonable satisfaction the student involved provided that such complaint was notified to the appropriate secretariat abroad as soon as reasonably practical and the student has exhausted all other reasonable practical solutions in the overseas country involved.
